These Trading Terms outline how Greetings International (Spain) S.L., Interbrand Ventures (Gibraltar) Ltd., and Cardland Xpress LLC (Dubai) (collectively referred to as "The Companies"), trading as Cardland or Cardland Xpress, work with commercial customers, suppliers, and trade partners.

They reflect the practical realities of international trade and supply and are intended to ensure that transactions are conducted fairly, reasonably, and in good faith.

These terms apply to commercial, wholesale, supply, or business-to-business transactions conducted by The Companies and supplement our standard Terms of Sale where applicable.

Application of Trading Terms

Unless expressly agreed otherwise in writing, these Trading Terms apply to commercial transactions conducted with Cardland or Cardland Xpress and shall prevail over any alternative or conflicting terms contained in purchase orders or other documents issued by the counterparty.

1. Good Faith

The Companies and their counterparties acknowledge that commercial transactions are undertaken in good faith with the intention of completing business in a fair and reasonable manner.

2. Orders and Acceptance

Orders placed or accepted by Cardland or Cardland Xpress, their staff, agents, or subsidiary companies are made in good faith based on the commercial conditions existing at the time of placement.

Where reasonably possible, any amendments to orders should be confirmed between the parties.

3. Pricing

Where supplier costs, freight charges, duties, tariffs, or other external costs materially change prior to delivery, the parties agree to discuss reasonable adjustments where necessary.

4. Shipping and Delivery

Delivery dates and shipping arrangements are estimates unless expressly agreed otherwise.

Cardland or Cardland Xpress shall not be responsible for delays caused by manufacturers, suppliers, carriers, ports, customs authorities, or other logistics providers outside their reasonable control.

Risk in goods transfers in accordance with the agreed shipping arrangements or upon handover to the shipping carrier where no specific terms are agreed.

5. Practical Commercial Flexibility

The parties acknowledge that the supply and transport of goods may occasionally be affected by circumstances outside either party's reasonable control, including supplier delays, shipping disruptions, regulatory changes, or changes in freight or supply costs.

In such cases, the parties agree to work together in good faith to find a practical solution. This may include adjusting delivery timelines, agreeing alternative shipping methods, sharing additional transport costs where appropriate, or cancelling affected orders where performance becomes impractical.

6. Force Majeure

Neither party shall be liable for delay or failure to perform obligations where such delay or failure results from events beyond reasonable control.

Such events may include, but are not limited to war or armed conflict, terrorism or civil unrest, political instability, severe weather events or natural disasters, pandemics or epidemics, supply chain disruption, port closures or transport interruptions, government orders, sanctions or restrictions, or restrictions on the movement of persons, goods, transport or commercial activity imposed by local, regional or national authorities.

Where such events occur, obligations may be reasonably delayed, suspended, or adjusted until normal conditions allow operations to resume.

If such circumstances continue for more than sixty (60) consecutive days and materially prevent performance, either party may cancel affected orders without penalty, except for obligations already performed or costs reasonably incurred.

7. Payment Responsibility

Payment obligations to Cardland or Cardland Xpress remain the responsibility of the purchasing party.

Non-payment or delay by a counterparty's customer or third party shall not relieve the purchasing party of its obligation to pay for goods or services supplied.

8. Suspension or Cancellation of Orders

Cardland or Cardland Xpress reserve the right to suspend, amend, or cancel an order where circumstances beyond their reasonable control affect supply, delivery, or the continuation of the commercial relationship.

In such circumstances, the parties agree to work together in good faith to find a reasonable solution, which may include adjusting delivery schedules, quantities, or cancelling the affected order.

Any costs demonstrably and reasonably incurred in relation to the affected order up to the point of cancellation shall be addressed between the parties in good faith.

9. Resolution of Issues

The parties agree to act reasonably and in good faith to resolve any issues arising from a transaction.

10. Commercial Discretion

Cardland or Cardland Xpress reserve the right, in their reasonable commercial discretion, to decline, suspend, or cancel orders where continuing the transaction becomes commercially impractical or where the underlying commercial relationship between the parties changes materially.

In such circumstances, the parties agree to address any costs reasonably incurred in good faith.

11. Seasonal Orders (Force Majeure)

For seasonal or forward orders, including but not limited to Christmas, Valentine's Day, Mother's Day, Easter, Father's Day, Ramadan & Eid, and other comparable seasonal or forward-placed everyday ranges, the parties acknowledge that demand and market conditions may change in the period leading up to the relevant seasonal event.

Where a Force Majeure Event occurs and materially affects the ability of Cardland or Cardland Xpress to proceed with such orders, Cardland or Cardland Xpress may cancel or amend the affected order by providing reasonable advance notice, typically not less than four (4) months prior to the relevant seasonal event.

Upon such notice, the supplier shall use reasonable efforts to mitigate any impact, including reallocating or reselling the affected goods.

Any production, procurement, or commitment of goods undertaken by the supplier prior to or beyond this notice period shall be at the supplier's own commercial risk unless otherwise expressly agreed in writing.
